Volume 1 explains the strategy, legal structure, Rule 506(b)/506(c) choices, investor documents, and operating foundation behind real estate syndications and investment funds.
WASHINGTON - ColoradoDesk -- Regulation D securities attorney, commercial real estate professional, and Moschetti Syndication Law founder Tilden Moschetti has released The Real Estate Private Equity Blueprint: Volume 1: The Architecture, a 262-page guide to the strategic, legal, and operating foundation behind real estate syndications and investment funds.
Published by River Forge Press on August 11, 2026, Volume 1 is available in paperback, hardcover, Kindle, and audiobook formats. It is written for real estate operators moving from buying properties with their own capital to raising money from investors, as well as sponsors seeking to turn individual deals into a repeatable private equity business.
The book addresses decisions that need to be aligned before investor money comes in, including entity structure, sponsor and investment vehicles, Regulation D Rule 506(b) and Rule 506(c), fiduciary duties, offering terms, investor documents, the subscription process, and filing obligations. Those same issues are central to the real estate syndication legal services Moschetti Law provides to sponsors raising private capital.

"Most real estate books start with how to find and underwrite a property," Moschetti said. "That is only part of the job once you begin raising money from investors. You are also building a firm around the deals, and the strategy, legal structure, documents, investor process, and operations need to work as one system."
Volume 1 is organized around what Moschetti calls "The Architecture." Rather than treating a private placement memorandum or operating agreement as an isolated form, the book explains how each piece fits within the larger structure of a private offering.
It covers the relationship among the PPM, operating agreement or LPA, subscription agreement, investor questionnaire, the selected Regulation D exemption, and federal and state notice filings.
"People often begin by asking for a PPM," Moschetti said. "The PPM explains the offering. The full legal package aligns the structure, documents, subscription process, and filing support behind it. Volume 1 is intended to make that architecture understandable before the raise gets messy."
The Real Estate Private Equity Blueprint is planned as a three-volume series.
Volume 2, The Assets, is scheduled for October 2026 and will focus on deal sourcing, market analysis, and underwriting.
Volume 3, The Capital, is scheduled for December 2026 and will address investor psychology, the investor narrative, and the systems involved in building and scaling a real estate private equity business.
